1. Acceptance of Terms

These Terms of Service govern access to and use of the Smatshop website, applications and related business management services operated by Smatshop Technologies.

By registering for or using Smatshop, you agree to comply with these Terms.

2. Our Services

Smatshop provides software tools that help businesses manage inventory, sales, purchases, payments, receipts, staff access and related operations.

Features and service availability may vary by subscription plan.

3. Account Registration and Responsibilities

Users must provide accurate registration information and maintain the confidentiality of their login credentials.

Business owners are responsible for managing authorised staff access and ensuring that activities performed through their accounts comply with applicable laws.

Users should notify Smatshop promptly if they suspect unauthorised account access.

4. Acceptable Use

Users must not:

  • Use Smatshop for unlawful or fraudulent activities.
  • Attempt to gain unauthorised access to accounts or systems.
  • Interfere with platform security or availability.
  • Upload malicious software or intentionally harmful content.
  • Misuse customer, supplier or employee information.

We may take proportionate action against misuse, subject to applicable law and these Terms.

5. Subscriptions and Payments

Smatshop offers subscription plans with features and limitations described on its website or within the application.

Subscription payments may be processed through Paystack or other supported payment channels.

Subscription renewals are currently manual. Smatshop does not automatically charge customers for renewal under the current subscription arrangement.

Customers are responsible for renewing their subscriptions when required.

6. Subscription Expiry and Grace Period

Smatshop currently provides a seven-day grace period following subscription expiry.

After the applicable grace period, access to subscription-restricted services may be limited until the subscription is renewed.

Subscription expiry does not automatically delete the business's stored records.

7. Pricing, Payments and Refunds

Smatshop Technologies aims to handle subscription payments and refund requests fairly and transparently.

Subscription fees are displayed through Smatshop's official channels, and renewals are currently made manually.

Refund requests may be considered in circumstances including:

  • Duplicate or accidental payments.
  • Payments made successfully where the subscription was not activated or the purchased service was not provided.
  • Incorrect charges or verified payment-processing errors.
  • Significant service-related issues that Smatshop is unable to resolve within a reasonable period.
  • Other exceptional circumstances that reasonably justify a refund.

Refund eligibility will be assessed individually, taking into account the circumstances, services already provided, payment records and applicable Nigerian consumer protection laws.

Cancellation of a subscription or a decision to stop using Smatshop does not automatically entitle a customer to a refund for services already provided. This does not affect any rights available under applicable law.

Customers may request a refund by contacting smatshop17@gmail.com with relevant payment details. Smatshop may request reasonable information to verify the payment and assess the request.

Approved refunds will be processed through an appropriate payment channel, subject to applicable payment-provider processing times.

Nothing in these Terms limits a customer's statutory consumer rights.

8. Business Data and Privacy

Businesses retain responsibility for the accuracy, legality and authorised use of information entered into their accounts.

Smatshop processes information to deliver its services as described in its Privacy Policy.

Users should maintain appropriate records and use available export or reporting features where relevant.

9. Service Availability

We aim to provide reliable access to Smatshop, but maintenance, technical issues, network failures and other circumstances may occasionally interrupt service availability.

We may perform maintenance and updates to improve functionality, reliability and security.

10. Intellectual Property

The Smatshop software, website, branding and associated materials are owned by Smatshop Technologies or their respective rights holders.

Users receive permission to use the platform in accordance with their subscription and these Terms. This does not transfer ownership of the software or its intellectual property.

11. Suspension and Account Closure

Access may be restricted for subscription expiry, security concerns, misuse or other legitimate reasons consistent with these Terms and applicable law.

Businesses may contact Smatshop support regarding account closure and requests concerning their stored information.

Account closure and permanent deletion of business records are separate processes and may be subject to verification and legal retention obligations.

12. Limitation of Liability

Smatshop Technologies takes reasonable steps to provide a reliable and secure business management platform.

However, uninterrupted or error-free availability cannot be guaranteed. Users are responsible for maintaining appropriate business records, verifying important transactions and managing authorised access to their accounts.

To the extent permitted by applicable law, Smatshop Technologies will not be liable for indirect or consequential losses arising from the use of the platform, except where such liability cannot lawfully be excluded.

Nothing in these Terms excludes or restricts liability that cannot be excluded or restricted under applicable Nigerian law.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria.

If a dispute arises concerning Smatshop's services, users are encouraged to contact Smatshop Technologies at smatshop17@gmail.com so that the matter can first be reviewed and an amicable resolution attempted.

Where a dispute cannot be resolved informally, either party may pursue available remedies through the appropriate courts or other legally recognised dispute-resolution mechanisms in Nigeria.

Nothing in this section restricts any rights or remedies available under applicable law.

14. Changes to These Terms

We may revise these Terms to reflect changes in our services, operations or legal requirements.

We will provide notice of material changes where required by applicable law.
